Where applicable, the Raiders Fan Cruise, Presented by Seaside Events, 1 Night Pre-Cruise Free Hotel Offer (“Offer”) is available to all booked Raiders Fan Cruise cabin guests during the Offer Period. Offer valid only with Promo Code: SPOOKY2024 entered at time of booking (as defined herein). Seaside Events, Inc, (the “Sponsor”),  the Raiders Football Club, LLC, LV Stadium Events Company, LLC, The Raider Image, LLC, Raiders Foundation, The Oakland Raiders, a California limited partnership, LVR Real Property, LLC (“Raiders Entities”), the National Football League and its member professional football clubs, and each of the foregoing’s respective parents, affiliates, subsidiaries and advertising agencies, and each of their respective parents, subsidiaries, affiliates, suppliers, retailers, distributors, advertising and promotion agencies, and each of their respective past and present officers, directors, employees, agents, shareholders, contractors, representatives and successors, and the NFL Entities (defined below)(hereafter collectively, the “Released Parties”) are not responsible for: i) failures or malfunctions whether caused by equipment, programming used in this Offer, human processing error, or otherwise; ii) any claims or cause of action arising out of participation in this Offer or the receipt, use, or misuse of any materials pursuant to the Offer; and iii) property damage, personal injury, or death relating in any way to the Offer, including without limitation, travel to and from the hotel in the Offer, use or misuse of the Offer, participation in the Offer, and any other activity related to the Offer. Participants agree to be bound by these Terms & Conditions and the decisions of the Sponsor, which are final and binding. Sponsor can void Offer from any individual(s) for failure to pay timely or who are believed to exhibit fraudulent behavior or any attempt to corrupt or impair the administration, security, fairness, or proper administration of this Offer. Sponsor reserves the right, in its sole discretion, to modify, suspend, and/or terminate any Offer (or any portion thereof) for any reason. Except where prohibited by law, any and all disputes, claims, and causes of action arising out of or in connection with this Offer shall be resolved individually, without resort to any class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association (“AAA”) and held at the AAA regional office nearest the Sponsor. All issues concerning the construction, validity, and interpretation of these Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida (and federal laws, as applicable), without giving effect to any choice of law or conflict of law rules that would result in the application of the laws of any jurisdiction other than the laws of the State of Florida and applicable federal laws. 1 Night Free Hotel Offer Timelines & Eligibility
This Offer begins at 12:00:00 AM Pacific Time (“PT”) on 10/9/2024 and ends at 11:59:59 PM Pacific Time (“PT”) on 10/31/2024 (“Offer Period”). The Offer is extended to all guests who book, confirm, and pay a deposit or full payment, toward a stateroom on the 2025 Raiders Fan Cruise, presented by Seaside Events of March 23-30, 2025 (the “Fan Cruise”) during the Offer Period. Offer valid only with Promo Code: SPOOKY2024 entered at time of booking. Each booked guest in the stateroom will receive the Offer. This Offer is open to legal residents of the United States (U.S.) who are at least twenty-one (21) years of age and the legal age of majority in their state of residence as of the date of processing of their Raiders Fan Cruise booking. Void where prohibited. 

1 Night Free Hotel Offer Specifics
The definition of “Offer” includes all of the following: (i) Each stateroom booked for the 2025 Raiders Fan Cruise that is booked and either deposited or paid in full during the Offer Period and with Promo Code: SPOOKY2024 entered at time of booking will automatically receive 1 Suite Room accommodation (accommodates up to 4 guests) for 1 Night on March 22, 2025, at the Embassy Suites LAX South, 1440 E Imperial Ave, El Segundo, CA 90245 (or similar) prior to the 2025 Raiders Fan Cruise departure; (ii) Each stateroom will also receive one invitation to the Embassy Suites LAX South’s hotel tailgate event with complimentary beverages and snacks; (iii) Each stateroom will also receive complimentary bus transfers for all guests in each qualified stateroom from the Embassy Suites LAX South to the San Pedro Cruise Port the morning of the cruise departure of March 23, 2025.

1 Night Free Hotel Offer Miscellaneous
No transfer, assignment, cash redemption, or substitution of the 1 Night Free Hotel Offer is permitted except by Sponsor, which reserves the right to substitute the service of comparable or greater value, in its sole discretion if the Offer described in these Terms & Conditions is unavailable or cannot be provided, in whole or in part, for any reason. The estimated retail value of the Offer is $289.00 USD. That determination is final and binding and cannot be appealed.  If the actual value of the Offer turns out to be less than the estimated value, the difference will not be awarded in cash. By participating in the Offer as permitted by applicable law, guests (the “Indemnifying Party”) shall defend, indemnify, and hold harmless the Released Parties from and against any and all losses, costs, damages, injuries, awards, judgments and liabilities, including but not limited to legal and professional fees, costs, and expenses (“Losses”), incurred by any such Released Party as a result of any claim, suit, proceeding or cause of action asserted against the Released Party (“Claim”) and shall defend, indemnify, and hold harmless the Released Party against any such Claim arising from: i) any copyright, patent and/or trademark infringement, unlawful disclosure or use or misappropriation of a trade secret or other intellectual property right owing to the Released Party’s use of the information provided by the guest and any corresponding content submitted by such Indemnifying Party; or ii) any material breach of these Terms & Conditions by the Indemnifying Party. Furthermore, Released Parties will have no liability whatsoever for, and shall be held harmless by guests against any and all claims, damages or liabilities arising from or relating to any injury, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Offer, including any travel or activity related thereto or participation in this Offer. By accepting the Offer, subject to applicable law, Offer recipient agrees that neither the Sponsor nor any of the Released Parties will have any liability whatsoever for, and shall be held harmless by guests against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Offer.

The National Football League, its member professional football clubs, NFL Ventures, Inc., NFL Ventures, L.P., NFL Properties LLC, NFL Enterprises LLC , NFL International LLC, NFL Productions LLC and each of their respective subsidiaries, affiliates, owners, shareholders, officers, directors, agents, representatives, and employees (collectively, the “NFL Entities”) will have no liability or responsibility for any Claim or Loss arising in connection with participation in this Offer.  The NFL Entities have not offered or sponsored this Offer in any way.

GOVERNING LAW: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE TERMS & CONDITIONS OR THE RIGHTS AND OBLIGATIONS OF THE ENTRANTS, SPONSOR OR RELEASED PARTIES IN CONNECTION WITH THE OFFER SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF FLORIDA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
